As a member of the legal and compliance team you will provide strategic legal assistance, observing the compliance of local and international regulations and Roche’s principles and standards for the business issues for Pharma and Diagnostics (clients and patients claims, public and private tenders, working with patient groups, data protection, promotion of products, advertising of products, forgery of products, competition law, administrative law, etc.).
What you’ll do:
This role will give you the opportunity to lead the following activities:
Responsible for the drafting, revision, negotiation and execution of agreements, amendments and termination agreements (clinical studies agreements, agreements with healthcare professionals, confidentiality agreements, lease agreements, loan agreements, agreements with key suppliers, distribution agreements, IT agreements, commercial agreements in general, etc.).Handle corporate issues: shareholders' meetings; board of directors meetings, appointment of directors, granting of powers of attorney, corporate capital increases, issuance of shares, by-laws amendments, mergers, spin offs, etc.Follow-up of litigation with external counsels (unpaid collections and bankruptcies and claims against the company among others). Settlement of cases and claims. Answers of request of information of courts and public agencies.Follow-up of registration of patents and trademarks and assistance to Basel´s Patent and Trademark Department. Legal actions to defend Roche from the illegitimate action of any company that might copy our products.Support of local compliance initiatives and training programs.Follow-up relevant legislation for the business and proper analysis of such legislation.Deputy of RMC for COREMAP initiatives, Clean Up campaigns, RecPoint matters, and Simply Core.Be the point of contact for all legal and compliance issues related to the Diagnostics business.Be the point of contact for Global Repository and Contract Engine (GRACE)
What you’ll need to be successful:
Lawyer with at least 6 years’ of experience in corporate law (knowledge of pharmaceutical industry preferable). Advanced English Experience in legal business partnering Knowledge in Corporate affairs and Health Law.Master´s degree in business law (Preferably).
